Wipro gives over 10.2 lakh stock awards to employees

The IT services company has granted more than one million stock-based awards to identified employees, with vesting and exercise timelines set by the Board's Nomination and Remuneration Committee.

Wipro has granted 10,21,882 stock awards to identified employees under its Employee Stock Options, Performance Stock Unit and Restricted Stock Unit Scheme 2024, reinforcing its long-term employee incentive programme.


According to the company's regulatory filing, the grant became effective on 29 July 2026 and comprises 9,11,458 ADS Restricted Stock Units (ADS RSUs) and 1,10,424 Restricted Stock Units (RSUs).


The move forms part of Wipro's equity-based employee reward framework, which links a portion of employee compensation to the company's long-term performance.


Over one million stock awards approved


The latest grant covers two categories of stock awards issued under the company's 2024 employee incentive scheme.


The allocation includes:


  • 9,11,458 ADS Restricted Stock Units (ADS RSUs)
  • 1,10,424 Restricted Stock Units (RSUs)
  • Total stock awards granted: 10,21,882

These awards have been issued to identified employees and will vest according to the schedule approved by the Nomination and Remuneration Committee of Wipro's Board.


How the employee awards work


The company said employees will receive ownership rights to the granted units only after they satisfy the applicable vesting conditions.


Once vested, the awards can be exercised during the exercise period approved by the Board's Nomination and Remuneration Committee.


Such stock-based awards are commonly used by listed companies to encourage long-term employee retention and align employee interests with the company's long-term performance.


Disclosure made to stock exchanges


Wipro informed both BSE Limited and the National Stock Exchange of India Limited about the grant through a regulatory disclosure.


The filing was signed by M Sanaulla Khan, Company Secretary, on 29 July 2026.
